Xuxly Download and Offline-Use License

1. What this license covers
This license supplements the Xuxly Terms of Service and applies to Xuxly Catalog Content obtained through an authorized download function. The provider is Nomenas Digital LLC. It does not govern your unrelated Local Files or authorize recording an external radio stream.
A Download is a copy supplied through the authorized Xuxly download workflow. A stream or publicly readable media URL alone does not grant the Download permissions in this document. You must meet the account, acceptance, and verification conditions applied to the download function.
When you affirmatively accept this license in the download workflow, Nomenas grants, under the rights available to it, the permissions below for the downloaded item. An updated license applies prospectively to downloads made under that version; it does not retroactively withdraw a valid earlier permission simply because the wording changes.
2. Personal listening permission
You receive a nonexclusive, personal, nontransferable license to keep and listen to an authorized Download for your own private, noncommercial listening on devices you own or control. You may make reasonable personal backup and device-transfer copies where the supplied file format and ordinary device functions permit them, without bypassing access controls.
This is a license, not a transfer of copyright or ownership of the recording, composition, artwork, lyrics, or other protected material. Nomenas grants only rights it has received or otherwise lawfully holds. Your independent rights in public-domain material and nonwaivable statutory exceptions are not converted into someone else's copyright by this agreement.
Creating a new Download grant requires active Xuxly Plus access or an express download grant from Nomenas at the time of the request. Plus may come from the annual subscription, a qualifying one-time Support Xuxly contribution, or an operator grant. Xuxly does not add a separate per-file fee. Expiration or cancellation of Plus prevents new and replacement downloads but does not, by itself, terminate the personal listening permission for a copy already lawfully obtained under this license.
3. Uses not authorized
This license does not authorize resale, lending or sharing copies with other people, public distribution, re-uploading to another platform, file-sharing, rebroadcasting, public performance, synchronization with video, sampling, remix distribution, commercial background music, or building a substitute music catalog. It also does not authorize using the Downloads as a dataset for training or fine-tuning an artificial-intelligence model or offering an automated extraction service.
Do not share credentials or signed grants, automate bulk downloading without written permission, evade a quota, or disable security controls. These restrictions are subject to applicable law, including any right that cannot be restricted by contract, and do not restrict permissions you independently obtain from the relevant rightsholder.
4. Delivery and operational limits
A web song download is supplied as an MP3. A web album download is supplied as a ZIP containing ordered MP3 tracks. Android album downloads use an authenticated manifest and individual track delivery into app-private storage rather than importing the web ZIP. Different delivery methods do not give different copyright ownership.
Xuxly may impose and adjust operational limits by account, device, time, number of tracks, or bytes. An album counts as its constituent tracks and complete byte size. A limit is not an entitlement to that volume, a guarantee of availability, or permission to download by other means when a limit is reached.
A signed URL may expire quickly; that expiration limits use of the delivery URL. It does not, by itself, expire the personal-use license for a copy already lawfully downloaded.
5. Duration and removal from the catalog
For an authorized Download, the personal listening permission has no ordinary calendar expiration. Subject to Section 6, it survives an artist's ordinary withdrawal, removal of the item from the catalog for business reasons, ordinary closure of your Account, and discontinuation of the Service. Those events may prevent new downloads, replacement downloads, synchronization, or access to other online features.
A creator's ordinary withdrawal does not make a previously authorized Download unlawful merely because the creator later changes their mind. This survival depends on the permissions actually granted for the item and does not override a nonwaivable statutory termination, valid court order, or the rights of a person who never authorized the use.
6. Rights problems and license breach
If Nomenas did not have authority to license a particular item, this document cannot grant the missing rights. We may notify you of the issue, withdraw future delivery, and ask you to stop a use that lacks authorization. The same applies where a binding legal requirement prevents continued use.
If you materially violate this Download License, Nomenas may terminate the affected permission to the extent allowed by law. A minor issue unrelated to your lawful Downloads, or ordinary Account closure alone, does not automatically revoke all earlier listening permissions. Where feasible and appropriate, a notice will identify the affected use and any opportunity to cure; no cure period is required for deliberate infringement or an urgent legal or security issue.
A requirement to stop using an affected item is distinct from a technical ability to erase it. Nomenas does not remotely delete your music files and does not promise to retrieve files already supplied.
7. Storage and file loss
Xuxly does not promise conventional digital-rights management, permanent access to replacement copies, or archival storage of your downloads. Short-lived grants and app-private storage do not make a recording impossible to capture or copy.
Deleting offline items, clearing app data, uninstalling the app, device failure, or operating-system cleanup can remove locally stored media. The Android application disables its configured Android cloud and device-transfer backups for app data. Keeping a license does not guarantee that a lost file can be downloaded again.
The Terms' applicable disclaimers, liability provisions, and mandatory-law protections also apply to Downloads. Questions concerning permission or a rights notice may be sent to legal@xuxly.com.
